#HKREITA made a submission to #HongKong Chief Executive for the 2024 Policy Address Public Consultation on 19 August. To ensure that the growth of the H-REIT market keeps pace with regional peers, we propose five key policy recommendations, including relaxation of the Hong Kong REIT Code, stamp duty exemption for the transfer of properties into H-REITs, increased tax transparency, diversification of the legal structure of H-REITs and inclusion of REITs in the HKD-RMB dual counter model.      In addition, we responded to HKEX’s Consultation on Review of Corporate Governance Code and Related Listing Rules on 16 August. We are generally supportive of the proposals and appreciate HKEX’s commitment to protecting the interests of the industry and investors. In early trade, the Straits Times Index headed down 0.2 per cent to 3,309.13 points after 21 million securities changed hands in the broader market. In terms of companies to watch, we have Frasers Logistics & Commercial Trust. Its distribution per unit (DPU) for the first half of the fiscal year declined 1.1 per cent to S$0.0348. Sinohope Technology Holdings Limited (1611.HK) announced that its subsidiary, Sinohope Asset Management (Hong Kong) Limited (“Sinohope AM”), has received approval from the Hong Kong Securities and Futures Commission for its application for a Type 1 (dealing in securities) license and an uplift of its Type 4 (advising on securities) license. With the new Type 1 license, Sinohope AM will be able to distribute virtual asset (VA) related products to professional investors, including but not limited to VA funds and VA structured products. As a Type 4 license holder, Sinohope AM can now also provide VA advisory services under its uplifted license. We look forward to leveraging these new licenses to better serve professional investors with innovative VA offerings. Affinity Equity Partners, a Hong Kong-based investment firm, is set to acquire a controlling stake in South Korea’s leading car rental and leasing company, Lotte Rental Co. Industry sources indicate that Lotte Group will hold a board meeting to name Affinity Equity as the preferred bidder to purchase 60.67% of Lotte Rental from two Lotte affiliates, as reported by KED Global. Currently, Lotte Hotel Co. and Busan Lotte Hotel own 37.8% and 22.83% of Lotte Rental, respectively.

Weekly Transaction Update in Vietnam Keppel sells stakes in Saigon Sports City and Saigon Centre Phase 3. Keppel subsidiary Jencity Limited is divesting 70% of the charter capital of Saigon Sports City Limited (SSCL) to HTV Dai Phuoc Co., Ltd. and Vinobly Investment Real Estate JSC, retaining 30% of the charter capital in SSCL. SSCL develops approximately 64 hectares in District 2, Ho Chi Minh City. The total consideration from the transaction is up to S$391.1 million. On the same day, Keppel announced that Japan's Toshin Development has subscribed for 46,364,475 ordinary shares in Himawari VNSC3, a Keppel subsidiary with an interest in Saigon Centre Phase 3. HKEX to Digitalise ETP Servicing Capabilities with Online Platform Hong Kong Exchanges and Clearing Limited (HKEX) is pleased to announce today (Tuesday) plans to digitise and automate the in-kind creation and redemption process for relevant exchange-traded products (ETP) in 2025 through the adoption of a web-based platform, subject to technical readiness and regulatory approval. This platform will be integrated into the ETP creation and redemption process, connecting key ETP participants with the use of Distributed Ledger Technology (DLT) and smart contracts, and will help increase overall ETP market efficiency, supporting the continued growth of secondary market activity for ETPs. We are pleased to announce that the Group’s application for the registration and listing of ESR China REIT (“ESR C-REIT”) <中航易商仓储物流基础设施REIT > has been approved by the China Securities Regulatory Commission. ESR is the Sponsor of ESR C-REIT, AVIC Fund is a licensed REIT manager under the current C-REIT listing rules, and China Merchants Securities Co., Ltd. is the financial advisor. As Sponsor and project manager, ESR will be able to provide ESR C-REIT with a future pipeline of assets for acquisition from its quality portfolio of assets under management (“AUM”) and development pipeline. In China, ESR Group manages over 170 assets, with a total AUM of more than US$30.7 billion and gross floor area (“GFA”) of about 14.9 million sqm. Nearly 70% of ESR’s stabilised properties in China are located in major economic hubs in the Yangtze River Delta and Greater Bay Area where demand is driven by strong activity in renewable energy industries and cross-border e-commerce.   ESR C-REIT is expected to raise around RMB 2.438 billion. ESR will subscribe to 34% stake of the C-REIT IPO, and the remaining 66% will be subscribed by cornerstone investors, public institutions and retail investors. ESR C-REIT has so far secured cornerstone investors including leading financial institutions and securities firms. Starting from 2024, the annualised cash distribution rate is expected to be 4.5% and 4.62% for 2024 and 2025 respectively. The ESR C-REIT comprises three currently self-owned logistics facilities with best-in-class specifications and design, strategically located in Kunshan, Jiangsu Province, China. Kunshan, which is around 45 minutes from Shanghai, is a major hub for China’s last mile logistics networks, backed by one of the largest consumer markets in China. The three assets, collectively called “Jiangsu Friend Warehouses”, have a total GFA of over 426,000 sqm – Jiangsu Friend Phase I (over 135,000 sqm); Jiangsu Friend Phase II (over 85,000 sqm); and Jiangsu Friend Phase III (over 206,000 sqm). The assets have an average occupancy rate of over 90% in the last 5 years, tenanted by multi-national companies in sectors such as logistics, e-commerce, and fast-moving consumer goods. ESR started to develop Jiangsu Friend Warehouses since 2011 and has been the pioneer to build it into state-of-art 4-story logistics warehouses with the strong conviction to provide the best logistics facilities to the tenants.
