I am sure all my friends and old (oops - I mean young) colleagues from the advertising fraternity have already read this. During my chats some of the old school guys are lamenting on how traditional firms are getting squeezed. Some admiring how the deal will give the combined company a market cap of more than $30 billion. Others just believe it will still be business as usual and not much would change, and want to wait and watch. Some like me just reflecting on the fact that "change is the only constant", and ratifying a self belief that financial managers and accountants eventually run businesses :) Some noteworthy transaction details from the Omnicom press release - (link in the comment): - The transaction is expected to generate $750 million in annual cost synergies and be accretive to adjusted earnings per share for both Omnicom and Interpublic shareholders.  Omnicom will have an attractive pro forma financial profile: - Combined 2023 revenue of $25.6 billion, Adjusted EBITA of $3.9 billion and free cash flow of $3.3 billion - Combined 2023 revenue of 57% U.S. and 43% International - Strong balance sheet, commitment to investment grade rating with combined debt to EBITDA ratio of 2.1x before the benefit of synergies - Omnicom will continue its practice for use of free cash flow: dividends, acquisitions and share repurchases - Both Omnicom and Interpublic will maintain their current quarterly dividend through the closing of the transaction - The stock-for-stock transaction is expected to be tax-free to both Omnicom and Interpublic shareholders and is expected to close in the second half of 2025, subject to Omnicom and Interpublic shareholder approvals, required regulatory approvals, and other customary conditions. - The combined company will retain the Omnicom name and trade under the OMC ticker symbol on the New York Stock Exchange. The pace of innovation on CTV advertising has been surprisingly slower than its adoption by premium viewers. Thank you Vanita Kohli-Khandekar for covering my thoughts in today's Business Standard. When you watch an ad on a mobile, an advertiser can track whether you responded to the ad or not (e.g. made a purchase, visited a website, downloaded an app) - this avoids wastage of ad dollars. But if you watch the ad on a connected TV and make the purchase on a mobile, marrying the two signals (attribution) is not straightforward. For all we know, the advertiser wanted to target someone else, while a different person in the home was watching the ad on CTV. At the same time, it is abundantly clear that affluent audiences prefer watching premium content (e.g. sports, movies, shows) on CTV instead of mobile. So the best paying audiences are on CTV, but still it is difficult to find them! What an incredible article by J Suresh in TOI. Quite an interesting take on Indian consumer’s journey from last 3 decades. Consumption pattern has been shaped by many socio economic factors along with the opportunities presented by many national and global brands. Technology has also played a crucial role while following / altering a said pattern.   There is a tectonic shift almost every decade in the way consumption is happening in India. On many occasions, market expansion in newer geographies or categories led to overall growth. This resulted in improved quarterly numbers and happy investors.   But beneath that, there seems to be much more.   The elephant in the room was newer consumption avenues which may not have been identified by many who were happy with rising demand in selected categories. There was a significant shift of share of wallet but remained unidentified by many.   It’s a classic case of seeing the result in totality and not identifying the primary reason of it. When we keep getting perennial success, we do not find a need to identify the variables of it. But when we fail, panic creeps in and we start analysing the rationale behind it. However, it is when we are successful, we must identify the root cause of it and align our resources for future challenges. Breaking down the outcome in multiple segments and analysing each one separately independent of the overall result is the formula of being future ready. www.saurabhwadekar.com
