We provide education and training to individuals and organizations on how to effectively participate in and manage meetings through the use of parliamentary procedure. Our hybrid meetings are held on the 2nd Thursday of each month, September through May.

Yesterday we presented this governing documents scenario: An organization’s records were destroyed by fire. The group wanted to change the name of the organization and prepare a new set of bylaws. According to RONR (12th ed) Are they bound by the old bylaws even though no copy is available? Answer: Yes, they are bound by the old bylaws until a new version is adopted. Bylaws continue in effect until they are amended or revised. RONR (12th ed) 56:2. It is best to revise the bylaws and present it to the membership for adoption. RONR (12th ed) 2:5, 56:2 If the organization is incorporated, they can refer to the the articles of incorporation for basic information, like the organization’s name and other provisions that may be contained in the document. This information will aid in drafting a revision of the bylaws. RONR (12th edition) 2:7, 2:8(2) .
