If you're the vendor, you're probably better off with just an SLA, but you should still understand the difference. And if you're the customer, you don't want to swap your warranty for an SLA.

In this week's article, David Tollen addresses a typical mess created by confidentiality terms, including in NDAs. Definitions of "Confidential Information" often include terms like "all business and financial information," all IP, all information about things like "equipment," and even "all sketches." That may sound like broad protection for the discloser, but it actually hurts both parties.
