Jeffrey Weiner's Thoughts of the Week - The Marcum Retrospective – Part 3 In two very short years, Marcum LLP became a national firm. From two New York-based offices in 2008, we had expanded into additional offices in Miami, Fort Lauderdale, West Palm Beach, Philadelphia, Boston, Hartford, New Haven, Los Angeles, San Francisco, and Irvine by the end of 2010. We went from two offices to 10 and roughly 450 people to 900, practically overnight. Marcum LLP's evolution continued. There became three prongs to our M&A strategy: geographic expansion into new markets, tuck-ins into existing offices, and sector-based expansion in our clients’ major industry groups. Our strategic plans NEVER had numbers associated with them. We NEVER focused on a dollar amount by which to increase revenue. We NEVER focused on how much our profitability would increase. 🚀 In April 2024, the National Venture Capital Association (NVCA) revised its model legal documents in response to the Delaware court’s February 2024 opinion in West Palm Beach Firefighters’ Pension Fund vs. Moelis. ➡️ Long story short: If you’re an investor or founder of a Delaware company with (i) board seat rights, (ii) stockholder protective provisions, or (iii) board committee seat rights, under Moelis these rights must be addressed in the company’s charter to be effective. 📝 If these rights are only addressed in the investors’ rights agreement, voting agreement or side letter, then under Moelis, they may violate Section 141(a) of the Delaware General Corporation Law (DGCL), which states that the board will manage the company’s affair except as otherwise provided in its charter. 📚 The NVCA updated its forms to address the Moelis decision. The previous NVCA form charter already included board composition and stockholder protective provisions. However, the form charter did not specifically address board committee rights, and has thus been updated to do so. 🏛️ The Moelis decision might be appealed, and proposed legislation could effectively overrule the holding. The Delaware Bar Association has proposed an amendment to the DGCL to provide that, whether or not set forth in the chapter, a company has the power to enter into contracts with stockholders that contain the types of rights addressed in Moelis. ⚖️ As the law stands today, however, be sure to address these clauses in your charter. In case you missed the news this morning, the Fifth U.S. Circuit Court of Appeals vacated the SEC's newly adopted Private Fund Adviser Rules, stating that the SEC had exceeded its authority in adopting the new requirements under the U.S. Investment Advisers Act of 1940. Will the SEC appeal the ruling? I think it will depend, in part, on whether this ruling affects the agency's authority with respect to other recently proposed and adopted rules – e.g., the Marketing Rule (IAA Rule 206(4)-1).
