This highlights that our initial validation is only a minor chapter in a venture's lifecycle. 🔍 Breakout Concepts: ● Startups need to be radically different from incumbents to succeed. ● Inflections are external changes that promote radical change. Incremental improvements, like Moore’s Law, are not inflections. In our newest blog post, Nine Four Ventures General Partner Kurt Ramirez shares some of his thoughts on the current environment of startup shutdowns and valuation resets, and if these are natural consequences of an earlier period of frothy investment and easy money. Some key points are around how:  ·        Startup failures are common and expected, especially after a period of high funding.  ·        The recent increase in shutdowns should be viewed relative to the outsized number of startups funded in the boom years of 2020 and 2021 and reaching their make-or-break moment now.  ·        Some of these startups may have been funded based on unrealistic expectations of future growth, leading to valuation drops. "Our local angel/pre-seed investors don't use SAFEs, so founders shouldn't ask for them" Well, maybe—but the data tells a different story. Carta dropped State of Pre-Seed Q3 2024 Report, packed with the latest market insights: valuation caps, discounts, fundraising tools, dilution trends, angel check sizes—you name it. A top question I hear when we share pre-seed data: Is all this SAFE talk just a Silicon Valley thing? Or are investors nationwide embracing them? Here’s what the data says: From analysed 55,000+ SAFEs and Convertible Notes signed between January 2022 and August 2024, all from pre-seed startups using Carta (most through our free Carta Launch tier). 𝗪𝗵𝗮𝘁 𝗱𝗼𝗲𝘀 𝘁𝗵𝗲 𝗱𝗮𝘁𝗮 𝘀𝗮𝘆? It’s true that SAFEs are most popular in mature ecosystems like Silicon Valley and NYC, but they’ve become the default pre-seed funding tool across nearly every major U.S. metro area. And in 2024, their usage has grown even further. 𝗔𝗿𝗲 𝗦𝗔𝗙𝗘𝘀 𝗮𝗹𝘄𝗮𝘆𝘀 𝗮 𝗴𝗼𝗼𝗱 𝗶𝗱𝗲𝗮? Not always. There are valid concerns: - Limited investor protections if the company never raises a priced round. - Minimal rights upfront (though side letters can address this). - Overuse by founders raising multiple rounds via SAFEs instead of transitioning to priced equity. - That said, SAFEs are overall a net positive for early-stage ecosystems. Quick 2024 SAFE stats: -58% valuation cap only, 34% cap + discount, 8% discount only. -88% post-money SAFEs, 12% pre-money. -Median post-money valuation cap: $10M for a $1M raise. -Median discount: 20% (when applicable). -AI startups? Higher caps and larger rounds. -Convertible notes? Still not making a comeback. If you're a pre-seed founder—or know one—this data is for you. Crunchbase has released its startup funding outlook for the first quarter of 2024, and while funding is still down overall, there are important bright spots. Early-stage funding grew 6% YoY, reflecting positive momentum with a strong group of companies ripe for later-stage investment in the coming years.
