https://lnkd.in/e9F7jW3P With capital more scarce and expensive these days, a consolidation and multiple expansion strategy won’t be enough for value creation. Acquired assets must be managed and grown organically.

U.S. Securities and Exchange Commission fines ACP Venture Capital Management Fund LLC $45,000 for Failure to Register and Failure to Comply with the Custody Rule. This matter concerns a failure by ACPVC to register with the Commission as an investment adviser, and to comply with the Advisers Act’s Custody Rule. Between November 2018 and January 2023 (the “Relevant Period”), ACPVC was required to be registered with the Commission and to comply with Section 206(4) of the Advisers Act and Rule 206(4)-2 thereunder (the “Custody Rule”). However, it failed to register with the Commission and failed to comply with the Custody Rule. 2. During the Relevant Period, ACPVC took the position that it qualified for an exemption from registration available to investment advisers that manage only private funds with assets under management of less than $150 million (the “Private Fund Adviser Exemption”). In fact, ACPVC did not qualify for this exemption because, during the Relevant Period, there was operational and ownership overlap between ACPVC and Partners Capital Services Inc. (“Partners”), an affiliate of ACPVC that is registered with the Commission as an investment adviser. Because ACPVC did not qualify for the Private Fund Adviser Exemption or any other exemption, it was required to be registered with the Commission as an investment adviser throughout the Relevant Period. Its failure to do so violated Section 203(a) of the Advisers Act. 3. In addition, because ACPVC was required to register as an adviser during the Relevant Period, it also was subject to the Custody Rule during that time. ACPVC failed to either undergo independent verifications (“surprise examinations”) or annual audits during the Relevant Period, and therefore failed to comply with the Custody Rule. #hedgefunds #privateequity #realestate #duediligence #riskmanagement #forensicaccounting #compliance #rias #fundadministrators #auditors #datascience #AI #venturecapital #duediligence #odd #forensicaccounting #fraud #riskmanagement #infrastructurefunds #investmentbanks #mergers #acquisitions

𝗘𝘅𝗰𝗶𝘁𝗶𝗻𝗴 #RIA 𝗡𝗲𝘄𝘀: 𝗦𝘂𝗺𝗺𝗶𝘁 𝗙𝗶𝗻𝗮𝗻𝗰𝗶𝗮𝗹 𝗘𝘅𝗽𝗮𝗻𝗱𝘀 𝘄𝗶𝘁𝗵 𝗙𝗶𝗿𝘀𝘁 𝗙𝘂𝗹𝗹 𝗥𝗜𝗔 𝗔𝗰𝗾𝘂𝗶𝘀𝗶𝘁𝗶𝗼𝗻 ⬇ Summit Financial has made a significant strategic move by acquiring Meeder Wealth Management, a $400M division of Meeder Investment Management. Unlike previous deals where Summit has taken minority stakes or onboarded teams, this marks their first full RIA acquisition, signaling a new phase in Summit’s growth strategy. The acquisition allows Meeder Wealth to retain its established brand while gaining access to Summit’s extensive resources and expertise. Earlier this summer, Summit also demonstrated its strong appeal to top advisors by onboarding Richard McWhorter and his team, who managed over $1.9B in assets at #MerrillLynch, under the Summit Growth Partners arm. McWhorter chose Summit for its ‘open architecture’ platform, offering unparalleled choice and flexibility for serving ultra-high net worth clients. This onboarding, along with the addition of the $370M Kyros Private Wealth team from #UBS, showcases Summit's ability to attract and partner with high-caliber advisors without the need for full acquisitions. The Meeder acquisition stands out as Summit’s entry into full ownership, providing a new avenue for integrating successful practices while maintaining their operational independence and legacy. 𝗔𝗯𝗼𝘂𝘁 𝗦𝘂𝗺𝗺𝗶𝘁 𝗙𝗶𝗻𝗮𝗻𝗰𝗶𝗮𝗹: Based in Parsippany, N.J., Summit Financial oversees approximately $13B in assets across 50 affiliated RIA practices. Backed by Merchant #InvestmentManagement since 2018, Summit is known for its innovative approach, providing services at cost without imposing a revenue scrape for partner firms. #WealthManagement #RIA #Acquisitions #FinancialServices #UltraHighNetWorth #FinancialAdvisors #Partners
